Public Offer for Consulting Services

General provisions
1.1. This document is a public offer (the "Offer") from self-employed Roman Petukhov (TIN 781131120180, the "Contractor") and contains the essential terms for the provision of consulting services in the operational transformation of clothing brands (audit, process optimization, visual merchandising, personnel, motivation, goods flow, analytics, etc.).
1.2. Acceptance of the Offer is made by:
- submitting a request through the form on petukhov.agency,
- paying for services,
- written confirmation (email or messenger).
1.3. Acceptance means full and unconditional agreement of the Customer with all terms of this Offer.
Subject of the Offer
2.1. The Contractor undertakes to provide the Customer with consulting services (the "Services") in the scope and on the terms agreed in correspondence or in a contract concluded based on this Offer.
2.2. Services include audits, recommendations, plans, checklists, strategies, and implementation support (by packages: express audit, full transformation, retainer support, and collaboration packages with partners).
Fees and payment procedure
3.1. Service fees are listed on petukhov.agency in the "Services" section or specified in correspondence (from 30,000 RUB to 700,000+ RUB depending on the package).
3.2. Payment is made to the bank account of self-employed Roman Petukhov (receipt is issued through the "My Tax" application).
3.3. Staged payment is possible: 50% advance, remaining amount by stage results or by other criteria (agreed individually).
3.4. Services are considered paid from the moment funds are credited to the Contractor's account.
Service delivery procedure
4.1. Services are delivered remotely (Zoom, Telegram, email) or on-site by agreement.
4.2. Delivery terms are agreed individually (from 2 weeks to 6+ months).
4.3. The Customer provides the information and access required for service delivery.
Rights and obligations of the parties
5.1. The Contractor shall:
- provide Services with due quality and on time;
- maintain confidentiality of Customer information.
5.2. The Customer shall:
- provide accurate information;
- pay for Services on time;
- not disclose the Contractor's commercial information.
Liability of the parties
6.1. The Contractor is not liable for failure to achieve desired results if the Customer did not follow recommendations, did not provide timely access to data/information, or acted contrary to the Contractor's recommendations.
6.2. If deadlines are missed due to the Contractor's fault, part of the payment is refunded proportionally to undelivered Services.
6.3. In any case, the Contractor's liability is limited to the amount paid for Services actually delivered and accepted by the Customer.
Payment for completed stages is non-refundable.
Confidentiality and personal data
7.1. The parties undertake not to disclose confidential information.
7.2. Personal data processing is governed by the website Privacy Policy.
Final provisions
8.1. This Offer is valid indefinitely from the date of publication on the website.
8.2. The Contractor may amend this Offer. A new version is published on the website.
8.3. Disputes are resolved through negotiations; if unresolved, in court at the Contractor's place of residence.
8.4. A full contract version and appendices may be additionally prepared on request.
